Todd is a native of Huntsville, Alabama who joined the firm in 1999 after graduating from the Cumberland School of Law at Samford University. Todd has substantial experience across a wide range of transactional law issues. Todd’s practice focuses on mergers and acquisitions, formation of business entities, negotiation of business contracts, and negotiations of financing agreements, but also includes a variety of other subjects.
Todd’s business entity work involves the formation of corporations and limited liability companies in a variety of jurisdictions, including Alabama, Delaware and Wisconsin. Todd prepares the initial paperwork required to set up these companies and works with the companies to put in place bylaws, operating agreements, buy/sell agreements, share subscription agreements, and other related documents.
Todd has helped complete many acquisitions, sale and investment transactions for the firm’s clients. Notable recent transactions include the acquisition by American Builders & Contractors Supply Co., Inc. (aka ABC Supply) of assets of material ventures, Inc., aka DRI Supply and the acquisition by L& W Supply Corp and the shares of NexGen Holding Company.
Todd has negotiated a variety of types of business contracts, including information technology, software licenses, services, agreements, and consulting agreements.
Todd also works with the firm’s clients to negotiate loans and other financing agreements. Todd has negotiated loans with a diverse variety of national and regional lenders, including Bank of America, Wells Fargo, Comerica Bank, Regions Bank. Blackhawk State Bank, Lake Forest Bank & Trust Company, and Johnson Bank.
Todd has also represented the firm’s clients in the acquisition of trademarks and has successfully prosecuted numerous United States trademark applications.
