Todd is a native of Huntsville, Alabama who joined the firm in 1999 after graduating from the Cumberland School of Law at Samford University. He has substantial experience across a wide range of transactional law issues. Todd’s practice focuses on mergers and acquisitions, formation of business entities, and negotiation of business contracts, software licenses, and financing agreements.
His business entity work involves the formation of corporations and limited liability companies in a variety of jurisdictions, including Alabama and Delaware. Todd prepares the initial paperwork required to set up these companies and works with the companies to put in place bylaws, operating agreements, share subscription agreements, and other related documents.
Todd has helped complete many acquisitions, sale and investment transactions for the firm’s clients. Notable recent transactions include the acquisitions by American Builders & Contractors Supply Co., Inc. (aka ABC Supply) of assets of Seattle Cedar Supply, LLC and Gutter Source, LLC and the acquisitions by L & W Supply Corp of the assets of Daico Supply Company and the Eastern Gypsum operations of Builders First Source, Inc.
He has negotiated a variety of types of business contracts, including software licenses, services agreements, and consulting agreements.
He also works with the firm’s clients to negotiate loan agreements and other financing documents. Todd has negotiated loans with a diverse variety of national and regional lenders, including Bank of America, U.S. Bank, Comerica Bank, Renasant Bank, Blackhawk State Bank, First Mid Bank of Trust, and Johnson Bank.
Todd has also represented the firm’s clients in the acquisition and maintenance of trademarks and has successfully prosecuted numerous United States trademark applications.
